What kind of document is a product delivery contract?
A delivery contract is a document in which the sending party and the receiving party pre-determine the item, quantity, unit price, delivery date, and payment method. When proceeding with a single purchase order, there are often fights over inspection standards or defect handling, so if it is a repeat transaction, it is safer to sign a contract first.
This form includes a table of items and provisions for inspection, defect warranty, liquidated damages, and transfer of ownership. In particular, setting an inspection period makes it clear “when the product is considered to have been received” and sets the standard for billing and claiming defects.
Transaction flow is usually estimate → contract or order form → Delivery Department transaction statement → bill → This continues in order of payment. This contract serves to fix the conditions of the flow at once.
Formatting
The text is one A4 page. The parties and contract summary are entered into a table, the amounts are automatically calculated from the item table, followed by the clauses and party display. If you download it in Word, a page of writing instructions will be attached at the end.

Things you can easily miss when writing
01Please write down the inspection period and the effects once that period has passed. If you just write down the period, nothing will happen.
02Determine the defect coverage period according to the nature of the product. Food and machine parts cannot be from the same period.
03Be sure to write down the delivery location and who will bear the shipping costs. If it is omitted, it is usually the responsibility of the supplier.
04The payment due date should be written together with the standard event, such as “within 30 days after passing the inspection,” to reduce disputes.
05After signing the contract, process individual orders with an order form, and exchange a transaction statement together when delivering.
Frequently Asked Questions
Can’t we just send and receive purchase orders?
If it is a one-time transaction order formIn many cases, this is sufficient. However, items that are prone to dispute, such as inspection standards, defect processing period, and responsibility for late delivery, are not often included in the order form. If it is a repeat transaction or the amount is large, it is neat to sign a contract first and process only individual orders with an order form.
How much is the liquidated damages determined?
In trading practice, 0.1 to 0.3% of the daily contract amount is often used. If it is too high, the expected compensation amount may be reduced because it is excessive, so set it at a level that is balanced with the actual damage.
What happens if the inspection period is not set?
It is unclear when the purchase will be considered, making both the timing of payment and the timing of defect claims blurred. It is better to write down the period and effect together, such as "Inspection will be conducted within 7 days from the date of delivery, and if there are no objections within that period, the inspection will be deemed to have passed."
How is VAT displayed?
Create the amount as the quantity in the item table × unit price, and add 10% to the total to make the total. If the item is duty-free or VAT is already included in the unit price, be sure to write it down in the special contract or notes.
Is what I write saved on the server?
It is not saved. The information you enter and the uploaded stamp photo are processed only within the browser, and PDF and Word files are also created on the user's device.
This is general information for guidance purposes only; actual terms and conditions will vary depending on the type of transaction and negotiations. If the contract is large or involves public procurement, obtain a legal review before signing.
